  • Served as Outside General Counsel to many California-based companies and their Boards, doing business nationally and internationally.
  • Advised on the formation of a wide variety of business entities, ranging from startups to mature enterprises.
  • Represented clients in mergers, acquisitions, financings, purchases, sales, and other strategies in the software, agriculture, personnel, telecommunications, radio, real estate, restaurant, construction, retail, vehicle, water, and other industries.
  • Provided tax and legal assistance to non-profits, private foundations, family trusts, and other entities, enabling them to minimize estate tax liability and court oversight.
  • Successfully defended the Chair of the Agricultural Commission, resulting in dismissal and recovery of attorney fees, in litigation demanding compensatory and punitive damages in excess of $10,000,000.
  • Successfully defended officers and majority shareholders against assertions of bad faith, violation of fiduciary duties, and violation of bylaws, through a derivative action resulting in a favorable judgment allowing a forced buyout of minority shareholders.
  • Carried out a successful strategy involving litigation and negotiation that allowed minority shareholders to purchase majority interests in three companies, with attendant financings through banking channels in a $47,000,000 transaction.
  • Obtained first, second, and third round financings of various client companies.
